Terms and Conditions of Queye Pay

1. Card Linking and Storage

By linking a payment card to your Queye account, you consent to the secure storage and processing of your card information by our payment processor, Stripe. For details on how Stripe handles your card and personal data, please see Stripe’s Privacy Policy. Queye stores a customer ID and card ID token for transaction purposes only; no raw card data is stored on our servers.

By linking a card, you authorise Queye and its partners (collectively referred to as "vendors") to charge your card for any payments you authorise through the Queye Pay service. Queye reserves the right to charge your account for any fees or services in accordance with these Terms.

2. Eligibility and Accounts

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use Queye Pay as a buyer or vendor. You are responsible for maintaining the confidentiality of your Queye account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information when creating an account or making a purchase, and to keep that information up to date.

Queye may suspend or decline to create an account for any person or entity at its discretion, including where required to comply with sanctions, anti-money-laundering, or other legal obligations.

3. Guest Checkout

Queye Pay allows purchases to be completed without a Queye account ("guest checkout"). Guest transactions are processed using the card details and receipt email address provided at checkout, and are subject to these Terms in the same way as transactions made by signed-in users. Because no account exists for a guest transaction, order history and saved payment methods are not available after checkout; keep your emailed receipt for your records.

4. Fees

Queye charges vendors a platform fee on each successful transaction, deducted automatically from the payment before the remaining balance is made available to the vendor. Unless a different rate is disclosed to a vendor in writing, the standard fee is 2% of the transaction amount when a buyer pays in the product's listed currency. Where a buyer pays in a different currency than the product's listed currency, an additional currency-conversion charge applies as described in Section 5, and the platform's effective share of the converted amount will be higher than 2% as a result.

Fees charged by Stripe or other third-party payment processors for handling a transaction are separate from, and in addition to, Queye's platform fee, and are not within Queye's control. Platform fees are non-refundable, including where a transaction is later refunded or disputed, except where required by law.

Queye may run promotional periods (for example, a fee waiver for a vendor's first 30 days on Queye Pay) at its sole discretion. Promotional terms will be disclosed at the time they are offered and do not alter the standard fees described above once the promotional period ends. Fee waivers apply only to Queye's platform fee; fees charged by Stripe or other third-party processors are never waived by Queye.

5. Currency Conversion

Where a buyer chooses to pay in a currency other than a product's listed currency, Queye converts the price using a reference exchange rate plus a conversion markup, and the resulting amount is what is charged to the buyer's card. The displayed price at checkout reflects this markup and is the final, binding charge amount; Queye is not obligated to honour a previously displayed rate if it changes before payment is completed. Vendors are paid out in accordance with Section 4 based on the converted, marked-up amount actually charged.

6. Vendor Responsibilities

Vendors using Queye Pay agree not to engage in fraudulent, deceptive, or illegal activities and must provide accurate and complete information at all times. Any breach of these obligations may result in the suspension or termination of your vendor account, including forfeiture of any available balance. Vendor payouts and any remaining balance are handled entirely through Queye Pay's connected payments provider (currently Stripe); they are never converted into Queye Rewards Qubits or any other loyalty currency.

Vendors are solely responsible for the products and services they list and sell through Queye Pay, including their description, quality, legality, and delivery. Vendors must honour their own stated refund and cancellation policies and respond to buyer inquiries in good faith.

7. Vendor Onboarding, Verification and Payouts

To receive payouts, vendors must complete identity and business verification with Queye's connected payments provider (currently Stripe), which may request documentation such as proof of identity, business registration, or bank account ownership. Queye Pay checkout and payouts for a vendor are not enabled until this verification is complete. Queye may display a vendor's onboarding status and any outstanding verification requirements to the vendor or, where relevant, to the vendor's Queye Partners team.

Available balances are held and paid out through the connected payments provider in line with that provider's schedule and requirements; Queye does not independently guarantee payout timing. Queye may withhold or delay a payout where it reasonably suspects fraud, a breach of these Terms, or where required by law.

8. Usage of Queye Pay

By using Queye Pay, you represent that you are at least 18 years old or of legal age in your country of residence. By completing a payment transaction, you authorise Queye and its vendors to charge your linked card for the specified amount.

Refund requests must be submitted within 7 days of the transaction. Refunds are subject to approval by Queye and/or the vendor. Queye reserves the right to review, limit, or withhold transaction history visibility if required by law or for fraud prevention.

9. Chargebacks and Card Disputes

Card payments made through Queye Pay may be disputed by the cardholder directly with their card issuer ("chargeback") independently of the refund process described in Section 8. Where a chargeback is filed, Queye and/or the relevant vendor may submit evidence to the card network on the vendor's behalf, and the disputed amount (plus any chargeback fee imposed by the card network or payment processor) may be deducted from the vendor's balance pending the outcome. Vendors with an excessive chargeback rate may have their Queye Pay account suspended or terminated.

10. Prohibited Uses

You may not use Queye Pay to buy, sell, or transact in connection with anything illegal under applicable law, including but not limited to: stolen goods; counterfeit goods; controlled substances; weapons where prohibited; content depicting the exploitation of minors; or goods or services intended to defraud another person. You may not use Queye Pay in a manner that violates applicable sanctions or export-control laws, or on behalf of a person or entity located in, or ordinarily resident in, a sanctioned jurisdiction. Queye may report suspected illegal activity to law enforcement and may suspend or terminate any account involved.

11. Taxes

Vendors are solely responsible for determining, collecting, reporting, and remitting any taxes (including sales tax, VAT, GST, or income tax) that apply to their sales made through Queye Pay. Queye does not act as a vendor's tax agent and provides no tax advice; nothing in these Terms or in Queye Pay's reporting should be relied upon as such.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Queye shall not be liable for any indirect, consequential, or incidental damages arising from the use of Queye Pay. Queye’s total liability for any claim related to these Terms or the use of Queye Pay shall not exceed the amount you paid through the service in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold Queye, its officers, employees, and affiliates harmless from any claim, loss, or demand, including reasonable legal fees, made by a third party due to or arising out of your breach of these Terms, your use of Queye Pay, or your violation of any law or the rights of a third party.

14. Intellectual Property

The Queye Pay name, logo, and associated branding are the property of Queye. These Terms do not grant you any right to use Queye's trademarks or branding except as necessary to use the service as intended (for example, displaying a "Pay with Queye" button on a vendor's own site).

15. Privacy

Queye's collection and use of personal data in connection with Queye Pay is described in Queye's Privacy Policy. By using Queye Pay, you agree to that collection and use in addition to these Terms.

16. Force Majeure

Queye is not liable for any delay or failure to perform its obligations under these Terms where that delay or failure results from causes beyond its reasonable control, including outages of third-party payment processors, banking systems, or internet infrastructure.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of Queye's jurisdiction of incorporation, without regard to conflict-of-law principles. [Specific governing jurisdiction and any arbitration or venue requirements to be confirmed with Queye's legal counsel before this section is relied upon.] Any dispute arising out of or relating to these Terms or Queye Pay that cannot be resolved informally may be brought only in the courts or forum designated for that jurisdiction.

18. Severability and Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with any policies referenced in them, constitute the entire agreement between you and Queye regarding Queye Pay and supersede any prior agreements on the subject.

19. Changes to Terms

Queye reserves the right to update or modify these Terms at any time. Any changes will be posted on our website with the updated effective date. By continuing to use Queye Pay after such changes, you agree to the revised Terms.
